Memberry

Terms of Use

Effective October 27, 2026

These Terms govern Memberry at memberry.co, operated by Maverick Marketer LLC (“Memberry,” “we,” “us,” or “our”), based in Southington, Connecticut, United States.

By accepting these Terms when creating an account, you enter into an agreement with Maverick Marketer LLC. Memberry is currently available only to adults 18 or older located in the United States. If you do not agree, or are not eligible, do not create an account or use the service. Questions: support@memberry.co.

1. Accounts

Eligibility. During this initial early-access period, Memberry is offered only to adults aged 18 or older who are located in the United States. By creating or continuing to use an account, you confirm that you meet these requirements. If you do not, do not use Memberry; you may delete your account from Settings or ask us to delete it at privacy@memberry.co. We may expand eligibility later. This restriction describes who the service is offered to; it does not limit obligations that applicable law imposes on us.

Provide accurate account information, keep your credentials confidential, and notify us if you suspect unauthorized access. You are responsible for activity you authorize through your account.

Do not create accounts to evade restrictions or impersonate another person. We may request reasonable verification where needed to protect an account or address misuse.

2. The service and early access

Memberry provides tools that help organize learning material, generate study packs, support practice, and schedule reviews. Features may include quizzes, summaries, flashcards, workbooks, learning maps, and AI tutoring.

Memberry is in early access. Features may change, contain errors, or be temporarily unavailable. We do not guarantee uninterrupted availability, any particular learning result, or that you will remember information for a particular period.

Memberry is currently free. Reasonable upload, processing, storage, and usage limits may apply. If we later offer paid features, their charges and terms will be disclosed before you choose to purchase them; we will not charge you automatically merely because you hold a free account.

3. Material you submit

You retain the rights you hold in your uploaded or pasted material and original responses. Submitting material does not transfer ownership of it to us.

You must have the rights or permission needed to submit material and allow its processing through Memberry and its providers. A publicly accessible link does not by itself grant permission to copy or reuse all underlying content.

You grant Maverick Marketer LLC a nonexclusive license to host, copy, extract, organize, transmit, and process your submitted material as reasonably necessary to provide, maintain, and secure Memberry, including generating and storing study materials through our service providers.

This license is limited to those purposes and does not authorize selling your private learning material. It continues only as reasonably necessary for the service and permitted retention described in the Privacy Policy.

Do not upload confidential information or another person’s personal information unless you are authorized to do so. Do not submit passwords, payment credentials, or other highly sensitive information the service is not designed to handle.

4. AI-generated material and educational use

AI output may be inaccurate, incomplete, misleading, or unsupported by a cited source. Review important information against the original material and other reliable references.

Quiz scores, tutor feedback, review intervals, and mastery labels are learning aids, not certifications of knowledge, professional competence, or academic achievement. Memberry is not a substitute for qualified medical, legal, financial, or other professional advice.

You may use generated study materials for lawful purposes, subject to rights in the underlying source material and applicable restrictions. We do not guarantee that AI output is unique, copyrightable, or free of third-party rights.

Follow the academic-integrity rules that apply to your course or institution. You are responsible for your decisions and for how you use generated content.

5. Acceptable use

Do not:

  • Infringe copyright, privacy, confidentiality, or other rights.
  • Upload malicious code or deliberately interfere with the application.
  • Access or attempt to access another person’s account or information.
  • Evade usage limits, misuse automated requests, or abuse AI and processing resources.
  • Use the service for unlawful activity, harassment, fraud, or harmful exploitation.
  • Circumvent source-platform restrictions or use Memberry in ways prohibited by applicable law.
  • Misrepresent your identity or eligibility.

We may remove content or restrict access when reasonably necessary to address violations, security threats, legal obligations, or operational risks.

6. Third-party services

Memberry uses third-party infrastructure and AI services and may display YouTube embeds or external links. Those providers’ applicable restrictions and privacy practices may affect your use.

Memberry is not affiliated with a source author, educator, or platform merely because their material appears in your study space. We do not control external content or guarantee its continued availability.

Our Privacy Policy explains how personal information is processed through Memberry and its providers.

7. Memberry’s intellectual property

Maverick Marketer LLC and its licensors retain rights in Memberry’s branding, mascot, software, and original interface materials, except for your content and third-party materials.

We give you a limited, nonexclusive right to access and use Memberry in accordance with these Terms. You may not claim our branding or mascot as your own or imply our endorsement without permission.

8. Feedback

You may voluntarily provide feedback. We may use suggestions to improve Memberry without compensation or an obligation to implement them. This does not transfer ownership of your private study content.

9. Deletion, suspension, and discontinuation

You may stop using Memberry and delete your account from Settings or by emailing privacy@memberry.co. Deleting a single source and deleting your account have different effects; the Privacy Policy explains retention and exceptions.

We may suspend or terminate access for material violations, security risks, legal requirements, or discontinuation of the service. Where practical and appropriate, we will provide notice and an opportunity to address an issue.

We may change or discontinue features. Where practical, we will provide notice of significant discontinuation and an opportunity to retrieve available material. Keep your own copies of important information; Memberry is not an archival or backup service.

We do not currently delete accounts automatically because they are inactive. A future inactivity policy will be communicated before it takes effect.

10. Disclaimers

To the fullest extent permitted by applicable law, Memberry is provided “as is” and “as available,” without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, or uninterrupted availability.

We do not warrant the accuracy of third-party sources or AI-generated material, or that the service will satisfy every learning need.

11. Limits on liability

To the extent permitted by applicable law, Maverick Marketer LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of Memberry, including lost profits, lost opportunities, or loss of data.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited. Statutory consumer rights remain unaffected.

12. Governing law and disputes

These Terms are governed by Connecticut law, without applying its conflict-of-law rules, except where mandatory law provides otherwise.

Subject to applicable consumer protections, disputes may be brought in the state or federal courts in Connecticut that have jurisdiction. Nothing here removes rights to use courts or remedies that applicable law requires to remain available.

Before beginning proceedings where practical, contact support@memberry.co so we can try to resolve the issue. This does not limit legal deadlines or rights to urgent relief.

13. Changes

We may update these Terms as Memberry develops. We will publish revised Terms and give notice of material changes, and obtain renewed acceptance where required. Changes do not remove rights that applicable law protects.
